Virtual Assistant Agreement

A template engagement agreement for hiring a virtual assistant.

1. Letter of Engagement

Parties: [Business Name] (“the Company”) and [Full Name] (“the Contractor”)

Role: Virtual Assistant

Location / Hours / Rate / Commencement: [Insert details]

2. Scope of Work

The Contractor will perform duties and functions described in their role outline or as directed by an authorised representative of the Company, provided those duties are reasonable and lawful.

3. Confidentiality and Data Protection

During and after engagement, the Contractor must keep confidential all information relating to the Company’s business, clients, and systems.

This includes all data, documents, and digital communications not in the public domain.

The Contractor agrees to:

• Use Company information only for business purposes.

• Securely store and, on termination, delete or return all Company materials and credentials.

• Comply with any applicable privacy or data-protection laws.

4. Intellectual Property

All materials, documents, recordings, and creative work produced during engagement are the exclusive property of the Company.

The Contractor assigns all rights, title, and interest in such works to the Company upon creation.

5. Conduct and Performance

The Contractor will:

• Follow reasonable directions.

• Maintain professionalism and protect the Company’s reputation.

• Notify the Company of any conflicts of interest or outside employment that could affect performance.

6. Termination

Either party may terminate this agreement with 30 days’ written notice.

Immediate termination may occur for:

• Breach of confidentiality or misconduct.

• Non-performance after written notice.

• Fraud, dishonesty, or reputational damage to the Company.

Upon termination, the Contractor must return all Company data, logins, and assets within 48 hours.

7. Acknowledgment
